Jonathan Lipson holds the Harold E. Kohn Chair and is a Professor of Law at\u00a0Temple University Beasley School of Law<\/a>. He teaches Contracts, Bankruptcy, Corporations, Commercial Law, Lawyering for Entrepreneurship, International Business Transactions, and a variety of other business law courses.\u00a0 In addition to Temple, he has taught at the law schools of the University of Wisconsin (where he held the Foley & Lardner Chair), the University of Pennsylvania, and the University of Baltimore.<\/span><\/p>\n

His research focuses on corporate governance, restructuring, and contracting practices.\u00a0 He has published in many of the nation\u2019s top law reviews, including those of the\u00a0UCLA<\/a>,\u00a0Boston University<\/a>,\u00a0Notre Dame<\/a>, and\u00a0Southern California<\/a>\u00a0law schools.\u00a0 His work is frequently cited, including by the United States Supreme Court and U.S. Courts of Appeals, as well as leading business courts such as the\u00a0Delaware Supreme Court<\/a>, the Delaware Chancery Court and the Bankruptcy Court for the Southern District of New York. He is also a coauthor (with Macaulay et al.) of\u00a0Contracts Law in Action<\/a>, the nation\u2019s leading casebook that takes a \u201claw in action\u201d approach to contract law.<\/span><\/p>\n

An occasional empiricist, Professor Lipson has published two articles on\u00a0the use of \u201cexaminers\u201d in chapter 11 bankruptcies<\/a>, the\u00a0second of which<\/a>\u00a0won the Editors\u2019 Prize as the best paper published in the American Bankruptcy Law Journal in 2016.\u00a0 His\u00a0study of employment<\/a>\u00a0at the Trump Casinos in connection with their bankruptcies received widespread attention, and was noted in Hillary Clinton\u2019s presidential campaign.<\/span><\/p>\n

Professor Lipson is a member of the American Law Institute, a Regent of the American\u00a0College\u00a0of Commercial Finance Lawyers, and is active with the Business Law Section of the American Bar Association where, from 2011 to 2017, he was Section Content Officer. \u00a0He is now a member of the Section Council and the Corporate Laws Committee. \u00a0He has also served as an expert in complex corporate reorganizations, including that of\u00a0Enron Corp.\u00a0\u00a0<\/em>His shorter works have appeared on, among others,\u00a0The Huffington Post<\/a>,\u00a0Concurring Opinions<\/a>, and\u00a0Credit Slips<\/a>. He also writes op-eds for the\u00a0National Law Journal<\/a>\u00a0and\u00a0USAToday<\/a>.\u00a0 <\/span><\/p>\n

Prior to teaching, Professor Lipson was a lawyer.\u00a0 From 1995-1999, he practiced corporate and commercial law in\u00a0Boston, with the firm of Hill & Barlow.\u00a0 From 1992 to 1995, he practiced bankruptcy and commercial law in the\u00a0New York\u00a0office of Kirkland & Ellis.\u00a0 From 1990-1992, he practiced with Milbank,\u00a0Tweed, Hadley & McCloy.\u00a0 While in practice, he was involved in several large and complex chapter 11 cases, including those of\u00a0Healthco, Thinking Machines Corporation<\/em>, and\u00a0CIS Corporation<\/em>.<\/span><\/p>\n

He\u00a0is a graduate of the\u00a0University\u00a0of\u00a0Wisconsin, B.A., with honors (1986) & J.D. (1990), where he was a note editor of the\u00a0Wisconsin Law Review<\/a>.<\/span><\/p>\n<\/div>\n<\/div>\n<\/div>\n<\/div>\n<\/div>\n

Professor Andrea Monroe teaches Taxation, Taxation II, Taxation of Partnerships and S Corporations, and Business Basics for Lawyers. She earned her J.D. from the University of Michigan Law School and her LL.M. in Taxation from New York University. Prof. Monroe previously taught\u00a0at Northwestern University School of Law as a visiting assistant professor. Professor Monroe\u2019s current research focuses on partnership taxation.<\/p>\n

Following law school, Professor Monroe worked at the law firms of Winston & Strawn in Chicago and New York and Foley & Lardner in Milwaukee, where her practice included leveraged leasing, alternative energy transactions and other forms of tax-advantaged financing.<\/p>\n

\n

\"Jonathan<\/a><\/p>\n

Jonathan M. Broder (LAW \u201983) is the retired Vice President of Corporate Development and General Counsel for Conrail. He managed Conrail\u2019s legal and corporate affairs, as well as its real estate and business development functions.<\/p>\n

He is currently an Adjunct Professor of Law at Temple, and teaches the Role of In-House Counsel and Administrative Law.<\/p>\n

Born in New York City, Mr. Broder received a BA from Oberlin College and a JD from Temple in 1983. After working in private practice as a litigator for several years, he joined Conrail\u2019s law department in 1988, specializing in economic regulatory litigation, antitrust compliance, and general commercial litigation. During the 1990\u2019s, Mr. Broder worked extensively on numerous strategic initiatives, including the development of the Conrail Express shortline program, participation in Conrail\u2019s efforts to acquire the eastern half of the Southern Pacific Railroad during the Union Pacific-Southern Pacific merger. Mr. Broder was part of the core team that worked on the Conrail-CSX-Norfolk-Southern transaction where he coordinated much of the regulatory and commercial aspects of the deal, and led several implementation teams for the merger. He also spent over 20 years working to preserve the Highline in New York City. Today, the Highline Park is one of the most popular attractions in New York.<\/p>\n
